1. Agreement to Terms
By accessing or using FlowChainLabs services, you agree to be bound by these Terms & Conditions. If you do not agree, do not use our services.
2. Services
FlowChainLabs provides AI Front Desk implementation, workflow automation, and AI system services for businesses. Services include but are not limited to: AI voice agents, sales follow-up systems, operations automation, knowledge bases, finance dashboards, EDI modernization, appointment scheduling, SMS communication, lead management, and analytics dashboards.
3. Engagements & Billing
Scope and investment for each engagement are determined during the AI Front Desk walkthrough or approved deeper review and confirmed in a signed Statement of Work. Recurring fees, if applicable, are billed automatically through a secure payment processor. You may cancel ongoing engagements at any time with 30 days' written notice.
4. Acceptable Use
You agree to use FlowChainLabs services in compliance with all applicable laws, including TCPA regulations for telephony and SMS communications. You may not use our services for spam, harassment, or any unlawful purpose.
5. Intellectual Property
All software, prompts, configurations, documentation, brand assets, and other materials we create or provide remain the property of FlowChainLabs unless a signed Statement of Work assigns them to you. Upon full payment for a given engagement, you receive a license to use the delivered systems for your business as described in that Statement of Work. You retain ownership of your own business data, content, and trademarks. You may not copy, resell, or reverse-engineer our underlying systems, methods, or templates.
6. Data & Privacy
Your business data, call recordings, and lead information are stored securely. We do not sell your data to third parties. See our Privacy Policy for full details.
7. Disclaimers
Our services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. AI systems can produce errors, miss inputs, or behave unexpectedly. We do not warrant that our services will be uninterrupted, error-free, or that they will produce any specific business result.
8. Limitation of Liability
To the maximum extent permitted by law, FlowChainLabs is not liable for any indirect, incidental, special, consequential, or punitive damages, or for any missed calls, scheduling errors, lost leads, lost revenue, or lost profits arising from AI system performance or the use of our services. Our total aggregate liability for any claim is limited to the fees you paid to us for the service in the 12 months preceding the event giving rise to the claim.
9. Indemnification
You agree to indemnify and hold harmless FlowChainLabs and its officers, employees, and contractors from any claims, damages, or expenses (including reasonable legal fees) arising from your use of our services, your violation of these Terms, your violation of any law, or your infringement of any third-party right, including claims related to communications sent through systems we operate on your behalf.
10. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law rules. Any dispute arising from these Terms or our services will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with the seat of arbitration in Dallas County, Texas. Either party may instead bring an individual claim in small claims court, and either party may seek injunctive relief in the state or federal courts located in Dallas County, Texas. You and FlowChainLabs each waive any right to a jury trial and to participate in a class action. Each party bears its own arbitration costs except as the arbitrator may award under applicable law.
11. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above. Your continued use of our services after changes take effect constitutes acceptance of the revised Terms.
